A Voting Trust Agreement is an Agreement between a group of stockholders of a Corporation and a Trustee. This Agreement provides that the control over the stock possessed by the stockholders is to be lodged with the Trustee and that the Trustee is to use such power and control for the specific purposes that are designated in the Voting Trust Agreement. Even in the absence of statutory authorization, nearly all jurisdictions now permit a Voting Trust Agreement provided that it is created for a lawful purpose.
