Consulting Agreement

This Consulting Agreement is between a company and an individual who provides certain services to the company. As payment to consultant, the company agrees to issues shares of stock as partial payment for services the consultant has provided, or will provide. It spells out the exact number of shares to be issued, par value of the shares and includes an option provision that explains the company will file the registration rights agreement with the Securities and Exchange Commission.
