Bulk Transfer Affidavits

The Uniform Commercial Code contains provisions that are designed to protect both potential buyers and creditors of businesses that intend to make bulk transfers of their inventory. Failure to comply with the Bulk Sales or Transfers Act portion of the U.C.C. will generally mean that original creditors of a seller will have a lien against the assets (inventory) which are transferred to the buyer.
